Terms of Service

These Terms & Conditions ("Terms") govern your access to and use of Vectrail, an AI-powered analytics and decision intelligence platform operated by TBP Codot LLP, registered in Bangalore, India ("Vectrail", "we", "our", or "us").

By accessing or using Vectrail, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Definitions

  • "Services": The Vectrail platform, including dashboards, analytics, AI chat, insights, actions, APIs, SDKs, and related tools.
  • "User" / "You": Any individual or entity accessing Vectrail.
  • "Customer Data": Any data you connect, upload, or provide to Vectrail.
  • "Insights": Analytics, metrics, predictions, recommendations, or AI-generated outputs.
  • "AI Services": Automated analysis, embeddings, predictions, and language-model-based features.

2. Eligibility & Account Access

  • You must be at least 18 years old to use Vectrail.
  • You are responsible for maintaining the confidentiality of your API keys, access tokens, and credentials.
  • You are responsible for all activity under your account.
  • Vectrail may suspend or terminate access if misuse, abuse, or security risk is detected.

3. Use of Services

You agree to use Vectrail only for lawful business purposes.

You must not:

  • Upload illegal, malicious, or infringing data
  • Attempt to reverse engineer or bypass platform safeguards
  • Use Vectrail to violate privacy, data protection, or regulatory laws
  • Use AI outputs as sole input for legally binding or life-critical decisions

Vectrail reserves the right to limit usage to protect system stability.

4. Customer Data & Ownership

  • You retain full ownership of your data.
  • Vectrail does not claim ownership over Customer Data.
  • You grant Vectrail a limited license to process data only to provide Services.
  • Vectrail does not sell your data.

5. AI & Analytics Disclaimer

Vectrail provides decision support, not decision replacement.

  • Insights, predictions, and recommendations are informational
  • AI outputs may be probabilistic or incomplete
  • Final decisions remain your responsibility
  • Vectrail does not guarantee accuracy, completeness, or business outcomes

6. Data Security & Availability

Vectrail implements reasonable technical and organizational safeguards.

However:

  • No system is fully secure
  • Temporary outages may occur
  • Vectrail is not liable for indirect data loss, downtime, or business interruption

7. Pricing, Billing & Payments

  • Paid plans are billed based on usage, features, or subscription tier
  • Prices may change with prior notice
  • Payment gateways are operated by third-party providers
  • Failure to pay may result in suspension or termination

All fees are non-refundable unless explicitly stated.

8. Third-Party Services

Vectrail may integrate with or rely on third-party services including:

  • Cloud hosting providers
  • AI model providers
  • Payment gateways
  • Vector databases

Vectrail is not responsible for third-party service failures.

9. Intellectual Property

  • Vectrail platform, code, branding, and documentation are owned by TBP Codot LLP
  • You may not copy, modify, or redistribute without permission
  • AI-generated insights belong to you, but the underlying system remains Vectrail IP

10. Confidentiality

Both parties agree to maintain confidentiality of non-public information exchanged during usage of the Services.

11. Termination

Vectrail may suspend or terminate your access:

  • For violation of these Terms
  • For security or legal reasons
  • Upon non-payment

You may stop using the Services at any time.

12. Limitation of Liability

To the maximum extent permitted by law:

Vectrail shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or data
  • Decisions made based on AI outputs

Total liability shall not exceed the amount paid by you in the last 3 months.

13. Indemnification

You agree to indemnify and hold harmless TBP Codot LLP from claims arising due to:

  • Your misuse of the platform
  • Violation of laws or third-party rights
  • Data you provide to Vectrail

14. Governing Law & Jurisdiction

These Terms are governed by the laws of India.

Courts located in Bangalore, Karnataka shall have exclusive jurisdiction.

15. Changes to Terms

Vectrail may update these Terms from time to time. Continued use constitutes acceptance of the updated Terms.
